Abstract

The new general regulation of monistic organizational structure of public limited companies in Czech legal order is, apart from some component variations, trying to fill the theoretical understanding of monistic organizational structure. Still, it brought some problems with.

However, those difficulties arise primarily from unhappily chosen method of legislation when the supporting provisions reffering to similar use of provisions regulating dualistic organizational structure (§ 456 Commerce Corporations Act). This provision looks prima facie like a basic provision while the really basic and most important provision defining the scope of board of directors (§ 460 (2) Commerce Corporations Act) looks like a supporting provision at first sight.

To avoiding these difficulties, the necessary adjustments and its systematics is to be understood correctly.
