Abstract
The author sheds light on fiduciary duties, business judgment rule, and other related aspects. His explanation of these issues is constructed and illustrated on the comparison of Delaware law, Czech law before recodification and after recodification.
The author views these institutes as mechanisms of corporate governance. In accordance with the interdisciplinary nature of corporate governance, both fiduciary duties and the business judgment rule are analyzed not only from legal perspective but also from economic perspective.
