Fiduciary duties and business judgment rule without legends

Abstract

This study develops a theory of fiduciary duties and business judgment rule in which business judgment rule protects directors from liability as long as they act in good faith. The explanation stems from the exploration of Delaware case law, Czech law before and after recodification.

Fiduciary duties, business judgment rule, and related aspects of authorization or ratification of breach of duties are examined in each of these laws.
