Sentencing Legal Persons in the Light of the Ultima Ratio Principle

Abstract

The paper focuses on the principle of ultima ratio used in connection with the criminal liability of legal persons. This principle is analyzed in substantive and procedural matters, both in terms of legislative and interpretive and application.

The author contemplates the possibility of using discretionary power of the public prosecutor in cases where the criminal prosecution of a legal person is inappropriate with regard to sentencing legal person who has no assets or is inactive.
