This article focuses on the issue of the legal aspects related to the regulation on subscription of shares in initial or secondary public offerings. Firstly, the relevant legal terms will be defined in explained in detail and also the basic overview of the regulation on public offering in the Czech Republic will be provided.
The major part of this article analyses the content of provision related to the subscription of shares in the public offering in the Act No. 90/2012 Coll, on Business Corporations. Important aspects related to the processes of capital increases and subscriptions of shares are described in detail, with focus on discrepancies and weak points of the legislation.
The special attention is also paid to the institute of the list of subscribers as defined in the Act No. 90/2012 Coll. and especially to the situations, when it complicate some specific capital increase transactions. Finally, regulation relevant for the cases in which a listing on the European regulated market is assessed also.
