Prospectus liability in the Prospectus Directive

Abstract

This article is focused on the issue of liability for information contained in prospectus and the related topic of conflict-of-law rules. The issue of prospectus liability is often put aside by many authors.

The questions related to the prospectus liability recently arose in connection with the new European Parliament and European Commission proposal for the Prospectus Directive published in 30th November 2015. The authors of the article present a brief analysis of these issues there and supplement it with a view on conflict-of-law rules for application of the liability.
