Abstrakt
The article deals with the obligations of a director of a private limited company under the Czech law. The legal regulation of directors obligations of a private limited company under the law of the Federal Republic of Germany is also partially taken into consideration.
The article analysis the duty of care, duty of loyalty, duties of a director in a conflict of interests, duty to inform and duty to call a general meeting. Attention is being paid also to the liability of directors, especially in relation to the breach of obligations by a director in a company crises.
Different concept of a creditor protection is being highlighted, i.e. protection by the insolvency test, whereas the mentioned concept of creditor protection is different from the creditor protection as applied under the German law.
