Abstract

The book provides a comprehensive view of delisting. In addition to a detailed analysis of the content of relevant (not only) domestic legislation (especially the Capital Market Undertaking Act, the Commercial Corporations Act, MiFID II), it is also supplemented by a comparative part focused on analyzing the content of legislation, case law and good practice in selected foreign jurisdictions.

The book also deals with the importance and development of trading on stock exchanges, analyzes delisting, its typology and legislative definition (as well as legislative definition of related key terms such as participating securities, organized public markets, public offer to buy or exchange securities, takeover bid, squeeze-out, etc. .) and presents a reflection of the existing EU and Czech legislation de lege ferenda, as well as proposals for minor and more fundamental legislation.
