Duty of loyalty in the transfer of a share in a business corporation

Abstract

The chapter deals with the consequences of the duty of loyalty of a shareholder of a business corporation for the validity of the transfer of a share. It discusses some of the conclusions of the Czech Supreme Court and the applicable legislation.
