Decentralized autonomous organization (DAO) as a challenge for law

Abstract

The paper presents decentralised autonomous organizations, that is entities functionally close to companies, but with a number of peculiarities in their internal structure, including the wide use of so-called smart contracts ("self-executing" orders in a blockchain database). The current interest in the use of such entities has led to the adoption of special regulation in selected countries, under corporate law, which naturally leads to questions about the appropriateness of a similar procedure at the European or Czech level.

The paper is based on the economic approach to corporate law and concludes that there are not currently compelling reasons for adopting special legislation.
