Abstract
The chapter deals with the right of a managing director of a limited liability company and a member of the board of directors of a joint-stock company to collect documents in the performance of his duties, which could prove in a subsequent court dispute with the company that he acted with due care in the performance of his duties. Based on an analysis of the legal regulation, case law, the nature of the relationship between the statutory body and the company and, above all, the specific procedural regulation, the author concludes that this right belongs to these persons.
