Abstract

The function of a member of the statutory body of a commercial corporation is, in terms of its legal regulation, primarily the domain of commercial law and, in the case of general questions concerning the statutory body of any legal person the Civil Code shall also apply. However, it is also undisputed that there are a number of criminal law implications concerning the performance of the function of a member of the statutory body of a legal person.

In this article we have attempted to highlight some of them in relation to the performance of the function of a member of the statutory body of a commercial corporation.
